These Terms and Conditions (“Terms”) govern your access to and use of the Kwikinvoices web application (“Service”). By creating an account or using the Service, you agree to be bound by these Terms. These Terms apply only to users located within the United States.

1. Description of Service

Kwikinvoices provides online invoicing tools and related features to authorized users on a subscription basis. We may update, modify, or enhance the Service at any time.

2. Subscription & Renewal

• Access to the Service requires an active monthly subscription.
• Subscriptions automatically renew at the start of each billing cycle once payment is processed.
• You may prevent renewal by canceling your subscription before the next billing cycle begins.

3. Fees

• Current subscription fees are displayed under “Renew Subscription” within your dashboard.
• We may update our pricing at any time. If changes occur, we will notify you in advance so you can decide whether to continue your subscription.

4. Payment

• Subscription fees are due at the beginning of each billing period.
• If payment is not received on time, we may suspend or terminate your access to the Service until payment is resolved.

5. Cancellation & Refunds

• You may cancel your subscription at any time by contacting us.
• If you prepaid for multiple months, you will receive a refund for any unused full months after the current billing period ends.
• No refunds are issued for the active month of service.

6. Acceptable Use

You agree to:

• Use the Service only for lawful purposes.
• Maintain the confidentiality of your login credentials.
• Be responsible for all activity conducted under your account.

We may suspend or terminate accounts engaged in misuse, unauthorized access, or activities that violate these Terms.

7. Intellectual Property

All software, content, features, and materials provided through the Service are owned by Kwikinvoices or our licensors and are protected by applicable U.S. intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Service.

8. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied. We do not guarantee uninterrupted, secure, or error-free operation.

9. Limitation of Liability

To the fullest extent permitted by U.S. law, Kwikinvoices shall not be liable for any indirect, incidental, consequential, or special damages arising from or related to your use of the Service. Our total liability for any claim shall not exceed the amount you paid for the Service in the preceding three months.

10. Governing Law

These Terms are governed by and interpreted in accordance with the laws of the State of Florida, without regard to its conflict-of-law principles.

11. Dispute Resolution & Arbitration (Orange County, Florida)

Before initiating any legal action, you agree to attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Service through good-faith, informal negotiation.

If the dispute cannot be resolved informally, it shall be submitted to binding arbitration as the exclusive method of dispute resolution.

• Arbitration will be conducted in accordance with the rules of a recognized arbitration provider (e.g., AAA or JAMS).
• Arbitration shall take place in Orange County, Florida.
• You and Kwikinvoices waive the right to a trial by jury or to participate in a class action.

Notwithstanding the above, either party may seek temporary or preliminary injunctive relief in a court of competent jurisdiction located in Orange County, Florida, to protect its rights pending arbitration.

12. Changes to These Terms

We may update these Terms at any time. Revised Terms will be posted on our website, and continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
